These Terms and Conditions (“Terms“) govern your use of https://strataminutes.ca and any related services provided by StrataMinutes (“StrataMinutes,” “we,” “us,” or “our“).
By accessing or using our website or services, creating an account, submitting materials, or purchasing a subscription or service, you agree to be bound by these Terms.

StrataMinutes provides services related to formatting, organizing, drafting, revising, storing, and managing strata meeting minutes and related records.
Our services may include customer accounts, uploads, subscriptions, one-time services, revisions, and AI-assisted or software-assisted processing.
We may update, modify, suspend, or discontinue any part of the service at any time.
2. Eligibility and Authority
By using StrataMinutes, you represent that:
- you are at least the age of majority in your jurisdiction;
- you have authority to use the service on behalf of yourself, your strata corporation, your organization, or your client, as applicable;
- any information and materials you submit are accurate and lawfully provided.
3. Accounts
You may be required to create an account to access certain features.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You must provide accurate and current account information and keep it updated.
We may refuse registration, place an account on temporary timeout, suspend access, or terminate an account at our discretion where we believe account activity is fraudulent, abusive, suspicious, misleading, unauthorized, spam-like, poses a security risk, or may harm StrataMinutes, its systems, its staff, or other users.
This includes, without limitation:
- spam submissions;
- excessive automated activity;
- repeated abusive or bad-faith revision requests;
- attempts to overload or misuse the service;
- suspicious payment activity;
- impersonation or false account information;
- conduct that interferes with normal service operations.
4. Customer Materials
You retain responsibility for the materials you submit to StrataMinutes, including meeting notes, agendas, draft minutes, attachments, names, and instructions.
By submitting materials, you represent that you have the right and authority to submit them and to authorize us to process them for the purpose of providing the service.
You must not upload materials that are unlawful, infringing, malicious, defamatory, or unrelated to the intended use of the service.
We are not responsible for verifying the factual accuracy, legal sufficiency, or regulatory compliance of the materials you provide.
5. AI-Assisted and Software-Assisted Processing
StrataMinutes may use AI-assisted tools, automated workflows, schema, custom coding, advanced software logic, and other technical processes to help deliver the service, including drafting, formatting, organizing, classifying, validating, storing, and improving outputs.
By using the service, you acknowledge and agree that submitted materials may be processed through these tools as part of service delivery.
You are responsible for reviewing final outputs before official use, circulation, filing, approval, or adoption.
StrataMinutes does not provide legal advice.
6. Revisions and Remakes
Where offered, revisions, remakes, or similar follow-up edits are intended to cover reasonable customer correction requests connected to the original submission.
If StrataMinutes states that revisions are included, this means revisions are included subject to fair use. Revision access is intended for normal customer corrections, clarifications, and reasonable follow-up changes related to the original work submitted.
We reserve the right to limit, refuse, delay, timeout, suspend, or terminate revision access where we believe requests are excessive, abusive, spam-like, made in bad faith, unrelated to the original work, technically unreasonable, or operationally harmful.
Examples may include extremely high-volume repeat requests, duplicate requests, intentionally disruptive usage, automated bulk revision activity, or behavior that would materially interfere with our ability to operate the business.
7. Pricing and Payment
Prices, subscriptions, packages, and service descriptions are as listed on the website or otherwise communicated by us at the time of purchase.
Payments may be processed by third-party processors including Stripe.
You agree to provide valid payment information and authorize us and our payment processors to charge applicable fees, taxes, renewals, and other agreed charges.
Unless otherwise stated, fees are quoted in [CAD] and are subject to applicable taxes.
You are responsible for ensuring billing information remains current.
8. Subscription Changes and Cancellation
Subscriptions may renew automatically if that feature is enabled at checkout or in your account settings.
You may cancel future renewals at any time before the next renewal date, subject to the billing terms shown at signup or checkout.
We may change pricing, packages, service scope, or subscription structure at any time, but changes will generally apply prospectively unless otherwise stated.
We may cancel, restrict, or refuse service where required for legal, security, fraud-prevention, operational, or abuse-prevention reasons.
9. Refunds
Except where required by law or where we expressly state otherwise in writing, payments are non-refundable once the service has begun, materials have been reviewed, or work has started.
If a billing error occurs, contact us promptly and we will review it in good faith.
Nothing in these Terms limits any non-waivable rights you may have under applicable law. Canadian competition authorities also emphasize that important terms should be transparent and not buried in fine print.
10. Retention of Records
StrataMinutes may retain strata minutes and related service records for up to 6 years, including where retention is required or justified for legal, administrative, evidentiary, security, business, or compliance purposes.
We may also retain account, billing, support, technical, and audit records for as long as reasonably necessary for those purposes.
11. Acceptable Use
You agree not to:
- use the service for unlawful, fraudulent, or unauthorized purposes;
- upload malware, scripts, or harmful code;
- interfere with or disrupt the website, servers, or systems;
- reverse engineer, probe, scrape, overload, or test the platform in a harmful or unauthorized way;
- use bots or automation in a way that creates spam, abuse, or operational strain;
- impersonate another person or entity;
- submit false, deceptive, or intentionally misleading information.
12. Intellectual Property
The website, branding, platform design, software logic, workflows, and related content of StrataMinutes are owned by or licensed to us and are protected by applicable intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the service for its intended purpose.
You may not copy, reproduce, resell, republish, or commercially exploit our website or systems except as permitted by law or with our written permission.
13. Service Availability
We do not guarantee uninterrupted, error-free, or always-available service.
The service may be unavailable due to maintenance, outages, third-party failures, updates, security incidents, or circumstances outside our control.
We may add, remove, modify, or suspend features at any time.
14. Third-Party Providers
We may rely on third-party providers for hosting, storage, security, spam filtering, analytics, account functionality, AI-assisted processing, and payment processing including Stripe.
We are not responsible for outages, failures, or acts of third-party providers outside our reasonable control.
15. Limitation of Liability
To the fullest extent permitted by law, StrataMinutes and its owners, operators, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, business opportunity, or anticipated savings arising from or related to the use of, or inability to use, the service.
To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the service or these Terms will not exceed the amount paid by you to StrataMinutes for the specific service giving rise to the claim during the 3 months preceding the event giving rise to liability.
16. Disclaimer
The service is provided on an “as is” and “as available” basis to the fullest extent permitted by law.
We do not guarantee that outputs will be error-free, legally sufficient, regulator-approved, or suitable for every specific use without review.
You are responsible for reviewing and approving final minutes and records before relying on them.
17. Indemnity
You agree to indemnify and hold harmless StrataMinutes and its owners, operators, contractors, and affiliates from and against claims, liabilities, damages, losses, and expenses arising out of:
- your misuse of the service;
- your submitted materials;
- your breach of these Terms;
- your violation of any law or the rights of any third party.

Your use of the service is also subject to our Privacy Policy.
19. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on the website with a revised effective or last updated date.
Your continued use of the service after updated Terms are posted constitutes acceptance of the updated Terms, to the extent permitted by law.
20. Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict of laws principles.
